Terms of Service

1. Acceptance of Terms

By accessing or using Vemgram (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. These terms apply to all visitors, users, and manufacturers who access or use the Platform. By using the Platform, you represent that you are at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872.

2. User Eligibility

The Platform is available only to individuals who are at least 18 years of age and are legally capable of forming binding contracts under the Indian Contract Act, 1872. If you are accessing or using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. Users from jurisdictions where the Platform or its services are prohibited by law may not use the Platform.

3. Description of Service and Platform Role

Vemgram is a B2B directory platform connecting Indian manufacturers with retailers and buyers. The Platform provides business listing, discovery, and contact information services. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time.

Vemgram operates as an online intermediary and information platform within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Vemgram is a venue that connects manufacturers with potential buyers. We are not a party to any transaction, agreement, or communication between users. We do not manufacture, sell, resell, warehouse, ship, or deliver any products. Any dealings between users are solely between those users, and Vemgram shall have no liability or obligation in connection with any such dealings.

4. User Accounts

To access certain features, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as necessary.

5. Manufacturer Listings

Manufacturers who list their businesses on the Platform agree to provide accurate, truthful, and up-to-date information. Vemgram reserves the right to remove or modify any listing that violates these terms or contains misleading information. Listings must comply with all applicable Indian laws and regulations. Listings are user-generated content, and Vemgram does not independently verify the accuracy, completeness, or reliability of any listing information.

6. Verification Badge Disclaimer

Certain manufacturer profiles on the Platform may display a “Verified” badge. This badge indicates that Vemgram has performed a basic identity or document check for that listing. The Verified badge does not constitute: a guarantee of the quality of products or services; an endorsement or recommendation by Vemgram; a warranty of the manufacturer’s financial standing, reliability, or legal compliance; or a certification of any kind. Users must conduct their own due diligence before entering into any business relationship with a listed manufacturer.

7. Prohibited Content and Conduct

You agree not to: use the Platform for any unlawful purpose; submit false, misleading, or fraudulent information; post content that infringes any third-party intellectual property rights; list products prohibited under applicable Indian law, including but not limited to the Drugs and Cosmetics Act 1940, the Arms Act 1959, and the Wildlife Protection Act 1972; upload obscene, defamatory, or hateful content; impersonate any person or entity; scrape, harvest, or collect data from the Platform without written consent; use automated means to access the Platform without prior authorization; circumvent the contact information gating mechanism; interfere with the proper functioning of the Platform; or attempt to gain unauthorized access to other accounts or systems.

8. Intellectual Property

All content, design, and functionality of the Platform are the exclusive property of Vemgram and are protected by copyright, trademark, and other intellectual property laws. Manufacturers retain ownership of their submitted content but grant Vemgram a non-exclusive, royalty-free, worldwide license to display and distribute it on the Platform for the purposes of operating and promoting the service.

9. Content Takedown

As an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Vemgram shall, upon receiving actual knowledge in the form of a court order or notification from the appropriate Government or its authorized agency, remove or disable access to the relevant content within 36 hours. 10. Indemnification

You agree to indemnify, defend, and hold harmless Vemgram, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to: your use of the Platform; your violation of these Terms; your violation of any applicable law; any content you submit, post, or transmit through the Platform; or any transaction, interaction, or dispute between you and another user of the Platform.

11. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without any warranties of any kind, whether express, implied, or statutory. Vemgram expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Vemgram does not guarantee the accuracy of manufacturer listings or the quality of any products or services listed.

12. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Vemgram shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to damages for loss of profits, data, goodwill, or other intangible losses. Vemgram’s total cumulative liability shall not exceed INR 10,000 (Indian Rupees Ten Thousand) or the amount paid by you to Vemgram in the 12 months preceding the claim, whichever is greater.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Koraput, Odisha.

14. Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Vemgram has appointed the following Grievance Officer:

The Grievance Officer shall acknowledge any complaint within 24 hours and resolve it within 15 days from the date of receipt of the complaint, in accordance with the IT (Intermediary Guidelines) Rules, 2021.

15. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.
